Disposal of Laboratoires Ineldea to Uriach
Sycomore Corporate Finance advises Ineldea’s shareholders
Ongoing
Uriach commits to acquire the French company Laboratoires Ineldea, a leading specialist in natural self-care products. Subject to the satisfaction of legally required preliminary consultations and approval procedures, the contemplated transaction is expected to be completed during the first months of 2024.
Rationale
After 20 years of successful development under the leadership of Nicolas Cappelaere, Ineldea would join the European platform that Uriach has built around the Natural Consumer Healthcare business, as an absolutely complementary piece, both geographically and on a portfolio level, which would allow for many important commercial synergies.
Uriach will notably allow Ineldea to accelerate its growth journey in the forthcoming years, with enhanced leverage and financial means to strengthen its position in countries where it already operates while penetrating new geographical markets.
This combination would allow Ineldea to reach its full potential and become one of the undisputed leaders of the European natural health market.
Founded in 2003 by Nicolas Cappelaere, Ineldea specialises in the formulation, development and distribution of natural health products for all people at every stage of life.
The Group has successfully evolved to become a preferred partner of ~5,000 pharmacies and ~7,700 prescribers in France, and 80 export distributors worldwide.
Ineldea’s core focus has consistently been to design efficient and safe products based on natural and high-quality ingredients, which are praised by healthcare professionals.
Ineldea has an annual turnover of nearly 100 million euros, thanks to its latest external growth in April 2022 with the acquisition of the Anfatis distribution platform in Italy, 230 employees and a large portfolio of effective natural products for health and well-being, some of which are category leaders in France: a paediatric line under the PEDIAKID brand, different ranges of products based on essential oils (OLIOSEPTIL brand), vitamin complexes (VITAMIN22), nutritional supplements for athletes (STC NUTRITION) or food supplements marketed on medical recommendation (COPMED), among others.
Uriach is a family-owned pharmaceutical company, backed by ICG private equity firm since 2023, specialised in the business of improving the health, quality of life and well-being of people around the world. The group is expanding internationally and operates in more than 70 countries.
Uriach has generated a turnover of more than 272 million euros in 2022.
